Corporate votes shouldn't be controlled by passive fund managers
Cracker Barrel is a graveyard of failed CEOs walking away rich while shareholders get destroyed. The problem runs deeper than one company: proxy advisory firms like ISS rubber-stamp every incompetent board, and index funds hold massive voting blocks with zero skin in the game.
The fix is simple. Passive index funds should be forced to split their votes proportionally to match what actual engaged investors choose, not let their fund managers play politics with other people's capital. Strip ISS and similar gatekeepers of their corrupt influence, and suddenly boards have to answer to people who actually researched their holdings and risked real money.
Stop letting lazy capital protect active incompetence.
Index fund voting blocks are letting incompetent boards hide from accountability while gatekeepers like ISS protect corporate cronyism.
